
º£½ÇÉçÇø Trust and School Leaders Online Training Sessions – Terms and ConditionsÂ
These terms and conditions are for the following training sessions:
- Governance for academy leaders within MATs: working with your local academy committee
- Governance for maintained school leaders: working with your governing body
- Governance for MAT executive leaders: working with your trust board
- Governance for SAT leaders: developing your trust board
1. Definitions Â
In these terms and conditions the following words and acronyms shall have the following meaningsÂ
º£½ÇÉçÇø: º£½ÇÉçÇøÂ
°ä±ô¾±±ð²Ô³Ù:ÌýThe individual or organisation for whom º£½ÇÉçÇø has agreed to deliver a Course or CoursesÂ
°ä´Ç³Ü°ù²õ±ð:ÌýThe professional development course selected by the ClientÂ
Ts&Cs : The terms and conditions contained in this documentÂ
Agreement: The agreement between º£½ÇÉçÇø and the Client for the supply of  Course or Courses as defined belowÂ
Fee: The price payable by the Client for the purchase of the place(s) on the Course or CoursesÂ
Participant: The individual who has purchased a place on a Course or for whom a place on a Course has been purchasedÂ
2. Agreement Â
All places on public access online º£½ÇÉçÇø training courses for trust and school leaders will be purchased on the Ts&Cs which shall be the entire agreement between º£½ÇÉçÇø and the Client in relation to the supply of the Course(s) by º£½ÇÉçÇø and shall prevail over and to the exclusion of any other terms and conditions including any provided by Client. Â
The Agreement incorporates and is subject to relevant rules, regulations, policies and procedures of º£½ÇÉçÇø which are referred and linked to in these Ts&Cs. Together, they set out the rights and responsibilities of º£½ÇÉçÇø and the Client. Â
An agreement for º£½ÇÉçÇø to supply a place on a Course will only exist when a request for a place on a Course (placed via phone, email or º£½ÇÉçÇø’s booking system) is formally accepted by º£½ÇÉçÇø by email and not before.
3. Course(s) to be delivered
Under the Agreement º£½ÇÉçÇø will use its reasonable endeavours to supply goods and services to meet the Course description on the º£½ÇÉçÇø website subject to these Ts&Cs.
All Courses will be delivered remotely via Zoom or other videoconferencing system at º£½ÇÉçÇø’s discretion.
The date and time of any Course place purchased will be that specified in º£½ÇÉçÇø’s confirmation email.
4. Participants
The Client will provide the full name, email address details of the Client and Participants for each Course on making the initial request for a place. If the Client is an organisation then it will also need to provide additional information to facilitate booking.
Notification of disability. If the Participant has a disability which might affect their ability to access a Course this should be disclosed at the time request for a place is made. In order for º£½ÇÉçÇø to be able to comply with its responsibility to make reasonable adjustments under the Equality Act 2010 it may request further information about the Participant.
5. Course materials
Any Course materials to be supplied by º£½ÇÉçÇø to the Client to support the delivery of a Course will be supplied in electronic format to the Client to the Participant email address provided by the Client on registration.
For each place on a Course purchased by the Client the Client or the Participants shall be entitled to download and/or print one copy for the personal use of the Participant. º£½ÇÉçÇø has no responsibility to supply printed materials to the Client.
The copyright in Course materials supplied to the Client is owned by º£½ÇÉçÇø. The Client shall not download, copy or share the materials other than as expressly permitted by this Agreement and shall be responsible for ensuring that the Participant observes this restriction.
6. Fee
The Fee for the purchase of a place on the Course must be paid in full at time of booking.
The Fee payable will be the price shown on the º£½ÇÉçÇø website at the time of booking.
If payment of the Fee is not made in full when due º£½ÇÉçÇø reserves the right to cancel the Participant’s place on the Course and also to pursue the unpaid Fee.
Unless the Client exercises their right to cancel under section 7 below then there is no right to a refund of the Fee or any other money if the Participant is unable to take up their place on the Course.
7. Statutory right to cancel
The Client has the right to cancel a booking of a place on a Course without giving any reason within 14 days of receiving confirmation from º£½ÇÉçÇø of a place on the Course and will receive a full refund of the Fee paid. The cancellation must be notified to º£½ÇÉçÇø by email to consultancy@nga.org.uk.
If the booking is made within 14 days of the start time for the Course then the right to cancel is lost once the start time for the Course has passed.
8. Transfer of a place
If in exceptional circumstances beyond the control of the Participant, the Participant is unable to take up their place on the Course, the Participant (or the Client on their behalf) may request to move their place to a later Course, if there are available places. The request must made by email to consultancy@nga.org.uk at least 48 hours in advance of the start time for the Course. The decision as to whether or not to accept the request is entirely within º£½ÇÉçÇø’s discretion.
Please note: This is the only way to transfer a place and any Participants (or the Client on their behalf) who attempts to transfer their place to a Course on another date by purchasing an additional place without notifying º£½ÇÉçÇø as above will bear the handling fee charged by the third-party booking platform.
9. º£½ÇÉçÇø’s right to make changes
º£½ÇÉçÇø will take all reasonable steps to provide the educational services that the Client purchased.
There may be circumstances outside of º£½ÇÉçÇø’s reasonable control where º£½ÇÉçÇø is unable to provide the services in full or in part for reasons such as fire, flood, pandemic, terrorist acts, illness or industrial disputes. Where those, or similar, circumstances arise º£½ÇÉçÇø may have to postpone, re-locate, re-structure or cancel a Course. If this happens º£½ÇÉçÇø will minimise disruption so far as it reasonably able to do and, wherever practicable, will provide you with reasonable alternative arrangements.
º£½ÇÉçÇø may suspend or cancel the running of a Course where in º£½ÇÉçÇø’s opinion:

too few Participants have registered for the Course to   enable º£½ÇÉçÇø to provide an appropriate learning experience

too few Participants have registered for the Course to make it commercially viable for º£½ÇÉçÇø to run the Course
-
for any Course there has been an unforeseen development in the subject area or teaching methods that requires significant change in order to maintain the currency or academic standards of the Course or the reputation of º£½ÇÉçÇø that cannot be made in time for the Course to run
º£½ÇÉçÇø will make all reasonable efforts to inform you of any such suspension or cancellation as early as possible and to provide reasonable alternative arrangements wherever practicable to do so.
10. Communications with Participants and Clients
It is the responsibility of the Participant and Client to check their emails regularly, to manage any filters on their email accounts to ensure that email from º£½ÇÉçÇø is sent into the ‘Inbox’ and not to a ‘spam’ or ‘junk’ email folder. Participants and Clients should ensure that their email inbox has an adequate amount of space to receive messages from º£½ÇÉçÇø.
11. Personal information
Personal information which º£½ÇÉçÇø has collected and holds about the Participant and the Client is will be held and used in accordance shown  in º£½ÇÉçÇø’s Training and Consultancy services Privacy Policy
This may include using personal information to process the booking of the place on the Course, to keep in touch with the Participant and the Client, to provide services and facilities for quality assurance and other reporting purposes and for making judgements and so it is important that this information is correct.
It is the responsibility of the Client and the Participant to keep personal information up to date and to notify º£½ÇÉçÇø of any changes or  errors as soon as possible.Â
A Participant or Client may change personal information by confirming old and new details in writing, either by email or letter. If any change to a change to a name is made, º£½ÇÉçÇø retains the right to ask for proof of name (e.g. a deed poll or statutory declaration) if it suspects that this service is being abused.
If the Participant is awarded any qualification of º£½ÇÉçÇø, any certificate in respect of that qualification will be issued in the name that º£½ÇÉçÇø holds in its records at the point when the qualification is conferred.
12. Expectations of participants
Participants are expected to display the good conduct expected of those involved in education and governance and to comply with this Code, avoiding inappropriate behaviour and misconduct.
Unfortunately, in rare cases º£½ÇÉçÇø may have to ask that a Participant does not take up their place or to leave a Course during its delivery due to unprofessional standards of behaviour and it reserves the right to do this and take any other action it deems appropriate to protect other Participants, itself, its staff and consultants. This action may include informing the Client of the circumstances and the action taken. If such action is necessary, any Fee paid will not be refundable.
Below are examples of behaviours expected of Participants and also examples of expected standards of behaviour.
Participants are expected to

Show respect and care for other participants and º£½ÇÉçÇø staff, facilitators and mentor

Commit to the learning on the Course
-
Join the Course via from a suitable environment free from interruptions, noise and distractions
-
Ensure use of IT equipment and internet connection suitable to allow easy of access to the Course
-
Attend the Course on time, properly prepared
-
Provide balanced and constructive feedback as to your experience of the Course
-
Inform º£½ÇÉçÇø as soon as possible can the Participant needs additional support with their learning due to a disability or learning difficulty

Play an active part in promoting respect and challenging any form of discrimination or abuse
-
Keep confidential information shared with you by other participants in class or on an individual basis and observe any ground rules as to confidentiality and anonymity

Follow the reasonable instructions of º£½ÇÉçÇø, its staff and representatives
Inappropriate behaviour
All participants are expected to refrain from inappropriate behaviour of any sort including for example
-
Behaviour or language which is hostile or shows prejudice towards individuals based on their disability, gender, race, religion, gender identity or sexual orientation

Incorrect use of Course materials

Any behaviour inconsistent with the standards of good behaviour listed above
13. Complaints
If a Client or Participant wishes to make a complaint there is a º£½ÇÉçÇø Complaints Policy.
